Specific deliverables, timelines, and pricing will be defined in separate project proposals or service agreements.
Quotes and Proposals
All proposals and quotations are valid for thirty (30) days unless otherwise stated.
Project scope changes may require revised pricing and timelines.
Client Responsibilities
Clients agree to:
- Provide accurate information
- Supply required content and approvals in a timely manner
- Maintain legal rights to any content supplied
- Review deliverables promptly
Project delays caused by client inaction may impact timelines.
Intellectual Property
Client Content
Clients retain ownership of all content they provide, including:
- Logos
- Images
- Text
- Branding materials
- Proprietary information
Rootstock Digital Deliverables
Upon full payment, clients receive ownership rights to custom-developed deliverables unless otherwise specified in a written agreement.
Rootstock Digital retains ownership of:
- Proprietary development methodologies
- Frameworks
- Templates
- Internal tools
- Reusable code libraries
Payment Terms
Payment schedules will be outlined in project agreements.
Invoices are due according to the terms stated on the invoice.
Late payments may result in:
- Project delays
- Suspension of services
- Additional fees where permitted by law
Security Disclaimer
Rootstock Digital follows security-focused development practices and industry best practices where appropriate.
However, no website, application, infrastructure, or technology solution can be guaranteed to be completely secure.
Rootstock Digital does not warrant protection against all cyber threats, attacks, vulnerabilities, or breaches.
Third-Party Platforms
Many solutions rely on third-party services such as:

- API vendors
Rootstock Digital is not responsible for outages, security incidents, pricing changes, feature changes, or actions of third-party providers.

Total liability shall not exceed the amount paid by the client for the services giving rise to the claim.

Rootstock Digital disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
Indemnification
Clients agree to indemnify and hold harmless Rootstock Digital, its owners, employees, contractors, and affiliates from claims arising from:
- Client-provided content
- Violation of laws or regulations
- Misuse of services
- Intellectual property disputes involving client materials
Termination
Either party may terminate a project or engagement according to the terms outlined in the applicable service agreement.
Amounts earned and expenses incurred prior to termination remain payable.
Governing Law
These Terms shall be governed by the laws of the State of Kansas, without regard to conflict of law provisions.
Changes to Terms
Rootstock Digital may update these Terms from time to time. Continued use of the website or services constitutes acceptance of the revised Terms.
